These Terms of Service ("Terms") govern your purchase and use of UrsaPDF software ("Software", "Product") provided by UrsaPDF Inc. ("we", "us", "our", "UrsaPDF"). By purchasing or using UrsaPDF, you agree to be bound by these Terms. If you do not agree, do not purchase or use the Software.
UrsaPDF is a desktop PDF editing and annotation software application for Windows. It allows users to view, edit, annotate, sign, and manage PDF documents. The Software is delivered as a downloadable desktop application with license key activation.
Key capabilities: PDF viewing, text editing, annotation (highlights, notes, stamps, shapes), electronic signatures, form filling, OCR text recognition, PDF-to-docx conversion, and page management.
Limitations: UrsaPDF is a Windows-only desktop application. It requires an internet connection for license activation and certain features (OCR, PDF-to-docx conversion). The Software is licensed, not sold — you purchase a license to use the Software, not ownership of the Software itself.
Upon successful payment, you are granted a non-exclusive, non-transferable, perpetual license to install and use UrsaPDF on the number of devices specified in your purchased license tier. License types and pricing are displayed on our Pricing page at the time of purchase.
You may not: resell, redistribute, reverse engineer, decompile, or modify the Software. You may not use the Software for any illegal purpose.
All prices are listed in USD and include applicable taxes (such as VAT, GST, and sales tax) as calculated by Paddle at checkout based on your billing country. By placing an order, you confirm that the payment information you provide is accurate and that you are authorized to use the payment method. Paddle is responsible for processing your payment, collecting and remitting applicable taxes, and issuing your receipt.
If you purchase a subscription plan, your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. The renewal price will be the same as the initial purchase price unless we notify you of a price change at least 30 days in advance. You may cancel your subscription at any time through your account page or by contacting our support team. Cancellation stops future charges but does not retroactively refund the current billing period, except as described in our Refund Policy.
We offer a 14-day money-back guarantee on all purchases. If you are not satisfied with UrsaPDF for any reason, you may request a full refund within 14 days of your purchase date. For full details, see our Refund Policy. Refunds are processed by Paddle and returned to your original payment method.
If you are a consumer in the European Union, the European Economic Area, the United Kingdom, Turkey, or Israel, you have a statutory 14-day right of withdrawal for digital content and services, beginning on the day of purchase (or, for subscriptions with a free trial, the day the trial ends). This right may lapse if you give express consent to begin performance before the withdrawal period ends and acknowledge that you will lose your right of withdrawal once the service has been fully performed. Our 14-day money-back guarantee in section 5 is offered in addition to (not in place of) your statutory rights and applies regardless.
Upon successful payment, you will receive an email from Paddle containing your receipt and download/activation instructions. You may also access your license key through your account page. Please ensure your email address is correct at checkout to avoid delivery delays.
License purchases include free minor updates (e.g., version 1.x) for the duration of the license. Major version upgrades may require a separate purchase or an active subscription plan. Technical support is provided via email at support@ursapdf.com. We aim to respond to all inquiries within 24 hours on business days.
UrsaPDF and all related content, including but not limited to the software code, design, logos, documentation, and website, are the exclusive intellectual property of UrsaPDF Inc. All rights not expressly granted are reserved.
The Software is provided "as is" without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. We do not warrant that the Software will be uninterrupted or error-free. Some jurisdictions do not allow the exclusion of certain warranties; in such jurisdictions, the exclusions above apply to the maximum extent permitted by law.
To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Software. Our total liability shall not exceed the amount you paid for the Software in the 12 months preceding the claim. Nothing in these Terms limits any liability that cannot be excluded under applicable law.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which UrsaPDF Inc. is registered, without regard to its conflict-of-law principles. Any disputes arising from these Terms shall be resolved through binding arbitration as mutually agreed between the parties, except that either party may seek injunctive relief in any court of competent jurisdiction, and except where applicable consumer protection laws in your jurisdiction grant you the right to bring an action before your local courts. If you are a consumer in the EU/EEA/UK, you may also rely on the mandatory consumer protection laws of your country of residence.
We reserve the right to modify these Terms at any time. Material changes will be communicated via email to registered users and by updating the "Last updated" date on this page. Continued use of the Software after changes constitutes acceptance of the revised Terms. Paddle will be notified of any material changes per the requirements of our reseller agreement.
